DealDoctor® Referral Program Agreement
Version 1.0 · effective October 31, 2026
This Referral Program Agreement (the “Agreement”) is between DealDoctor PLLC, a District of Columbia professional limited liability company, 1717 N St NW, Ste 1, Washington, DC 20036-2827 (“DealDoctor”, “we”, “us”), and the person or organization that signs up for the DealDoctor® Referral Program (the “Program”), accepts this Agreement and receives a Referral Code under section 1.2 (the “Referrer”, “you”).
1. Sign-up, acceptance and eligibility
1.1 You accept this Agreement by ticking the box that says you accept it on the Program’s sign-up form. If you sign up for an organization, you confirm that you are authorized to bind it.
1.2 Acceptance alone does not make you a Referrer. You become a Referrer when we send you your Referral Code by email. We may decline any sign-up, for any reason or none.
1.3 We keep a record of your acceptance, including the version of this Agreement, the date and time, the IP address it was sent from and the details you gave on the form.
1.4 To be a Referrer you must be at least 18 years old and able to enter into contracts. You must not be a DealDoctor employee or a contractor engaged by DealDoctor for other work, be named on a US government sanctions list, or be located or organized in a country or region subject to comprehensive US sanctions. We pay no commission to anyone who does not meet these conditions.
2. Definitions
- “Account”: a CARMAI™ or CARMAgree™ user account.
- “Credited Subscription”: a CARMAI™ plan or CARMAgree™ seat subscription credited to you under section 4.
- “Credited Account”: the Account to which a Credited Subscription belongs.
- “Commission Period”: for each Credited Subscription, the 12 months that start on the first day of the service period of its first paid invoice. Free trial periods do not start a Commission Period.
- “Referred Purchase”: each paid invoice of a Credited Subscription whose service period starts within that subscription’s Commission Period.
- “Net Amount”: the amount we actually receive in US dollars for a Referred Purchase, excluding taxes, less any refund, credit or chargeback we lose on it. Payment-processing fees are not deducted.
- “Referral Code”: the code we assign to you.
- “Referral”: each Credited Subscription.
3. Non-exclusive relationship
3.1 The Program is non-exclusive. You may promote any other product or service. We may appoint any number of other referrers, in any territory, and may sell to anyone directly.
3.2 Nothing obliges you to refer anyone, or us to accept any customer.
4. How referrals are credited
4.1 The Referral Code. A CARMAI™ plan or CARMAgree™ seat subscription is credited to you only when the buyer enters your Referral Code in the “Referred by (referral code)” box on our checkout page, run by our payment processor, Stripe, and the purchase is otherwise eligible under this Agreement.
4.2 Later purchases. A later new subscription is credited only if it qualifies on its own under section 4.1, and then to whichever referrer it qualifies for. A purchase made while you are suspended, or after this Agreement ends, creates no new Referral for you.
4.3 Not eligible. No commission is earned on:
- (a) purchases in the Apple App Store or Google Play;
- (b) any product or service not listed in this section 4, including CARMAgree™ envelopes, CARMAI™ credit packs, dealdoctor.pro store orders, CARMAboard™ and CALENDARguardian™;
- (c) any legal, consulting or other professional service of DealDoctor PLLC or its attorneys;
- (d) purchases by you, your affiliates, your employees or anyone buying on your behalf;
- (e) purchases by a customer that, at its first purchase with your Referral Code, had held an Account for more than 90 days or had already bought from us, unless we agree otherwise in writing;
- (f) purchases credited to another referrer;
- (g) payments in a currency other than US dollars;
- (h) purchases obtained in breach of this Agreement or of law.
4.4 Our records decide. Whether a purchase is credited, and to whom, is decided from our records and our payment processor’s records. We may review any referral before it earns commission. Commission on a referral under review is not payable until we approve it.
5. Commission
5.1 Rate. For each Referred Purchase, you earn 10% of its Net Amount, unless we agree a different rate with you in writing.
5.2 Terms fixed at purchase. Each Referral keeps the rate, Commission Period and holding period in force when its purchase was made.
5.3 Holding period. Commission on a payment becomes payable 90 days after the payment, if by then the payment has not been refunded and is not under dispute. Commission on a disputed payment waits until the dispute is resolved. If we lose the dispute, nothing is earned on that payment.
5.4 Refunds after payout. If we refund, credit or lose a chargeback on a payment after its commission was paid, we deduct that commission from your next payouts. If no later commission covers it within 6 months, you will repay the difference within 30 days of our invoice.
6. Payment
6.1 When. We pay the commission payable at the end of each calendar quarter within 30 days after the quarter ends, if at least US$25 is payable. A smaller amount carries over to the next quarter. When this Agreement has ended, or your last Commission Period has ended and its last holding period has passed, we pay any remaining payable balance, whatever its size, with the next quarterly payment. Payments under this section are subject to section 11.4.
6.2 How.
- Through Stripe Connect, if you are in a country where our Stripe account can pay referrers. Today that is the United States, the United Kingdom, the member states of the European Union, Norway, Liechtenstein, Canada and Switzerland; the list follows Stripe’s. You complete Stripe’s own onboarding and accept Stripe’s terms, including its Connected Account Agreement. Your bank, tax and identity details go to Stripe. To record payouts we keep your Stripe account ID, the bank or card brand, the last four digits and the account holder’s name.
- By bank transfer, everywhere else. You give us the bank details we need, and we keep them for that purpose.
6.3 Currency and fees. We pay in US dollars and do not deduct Stripe Connect fees from your commission. Currency conversion and bank charges on your side are yours.
6.4 Tax. You are responsible for all taxes on your commission. Before your first payout you give us your tax details: if you are a US person paid through Stripe, by completing Stripe’s onboarding; otherwise by giving us a completed IRS Form W-9 (US persons) or W-8BEN or W-8BEN-E (others). We hold payouts until they are in. We issue tax forms and withhold tax where the law requires.
7. What you must and must not do
7.1 Tell people you are paid. In every recommendation, you will disclose clearly and conspicuously that you may earn a commission, as the US Federal Trade Commission’s Endorsement Guides (16 C.F.R. Part 255) and similar laws require.
7.2 Be accurate. You will describe DealDoctor’s products only in ways consistent with our published materials. You will not make claims about what a product does, about its legal effect, about any certification, accreditation or approval, or about results, that we have not published.
7.3 You will not:
- (a) send unsolicited email, messages or calls, or break any marketing, anti-spam or telemarketing law;
- (b) bid on, or use in search or social-media advertising, any DealDoctor name or mark, or any misspelling of one;
- (c) post your Referral Code on coupon, deal, discount or cash-back sites;
- (d) offer buyers any discount, rebate, payment or gift for using your Referral Code, unless we agree in writing;
- (e) refer yourself, your affiliates or your employees;
- (f) say or suggest that you are DealDoctor, that you speak for DealDoctor, or that DealDoctor endorses you;
- (g) register or use a domain name, social-media name or account name that contains a DealDoctor name or mark;
- (h) promote any legal, consulting or other professional service of DealDoctor PLLC or its attorneys;
- (i) share any web address that carries your Referral Code.
7.4 Professional rules. If you are a lawyer or another regulated professional, you are responsible for following your professional rules, including on accepting referral payments, conflicts of interest and what you must tell a client. You will not disclose a client’s confidential information to us without the client’s consent.
7.5 Laws. You will comply with every law that applies to your activities under this Agreement.
8. Intellectual property
8.1 Everything stays ours. DealDoctor and its licensors own all rights in DealDoctor’s names, marks and logos (including DealDoctor®, CARMA™, CARMAI™, CARMAgree™, CARMAlly™, CARMAcademy™ and INTEGRIS™), its software, manuals, training, courses, content and materials. Nothing in this Agreement transfers or licenses any of those rights to you, except the permission in section 8.2.
8.2 Limited permission. While you are a Referrer, you may use DealDoctor’s names, and any logos we provide, only to identify DealDoctor’s products in your referrals, following any brand rules we give you. This permission is non-exclusive, non-transferable and non-sublicensable, and we may withdraw or change it at any time. You will not alter our marks or logos, combine them with your own, or use them in a way that suggests a different relationship.
8.3 Goodwill. All goodwill from your use of DealDoctor’s names and marks belongs to DealDoctor.
8.4 On request and at the end. You will stop any use, or remove any material, that we ask you to, within 5 business days. You will stop all use of DealDoctor’s names and marks when you stop being a Referrer.
8.5 Feedback. If you send us suggestions about the Program or our products, we may use them without any obligation to you.
9. Personal data
9.1 Each party is responsible, as an independent controller, for the personal data it handles under this Agreement.
9.2 You will give us a person’s or organization’s contact details only if that person or organization has agreed to it.
9.3 To run the Program, we keep:
- your name, email address, company, country and Referral Code;
- our notes about your participation;
- your referrals, including the buyers’ email addresses;
- the commissions and payouts on them;
- the payout details described in section 6.2;
- any tax form you give us;
- our record of your acceptance.
We keep these for as long as you are a Referrer, and afterwards for as long as we need them for tax, accounting and legal purposes.
9.4 Stripe handles the information you give in its onboarding under its own terms and privacy policy.
10. Confidentiality
10.1 You will keep confidential any non-public information we share with you, including the identity of the customers credited to you, commission details and any unpublished product or pricing information. You may use it only for the Program. This duty continues after this Agreement ends.
10.2 Section 10.1 does not cover information that is public through no fault of yours, that you already had without a duty of confidence, or that the law requires you to disclose. If the law requires a disclosure, you will tell us first where the law allows.
11. Term, suspension and termination
11.1 This Agreement starts when you become a Referrer under section 1.2 and continues until either party ends it.
11.2 Ending without cause. Either party may end this Agreement at any time by email to the other.
11.3 Suspension and ending for cause. We may suspend your participation, or end this Agreement at once, if we reasonably believe you have breached it or acted unlawfully.
11.4 What happens at the end.
- (a) If this Agreement ends under section 11.2, or because we end the Program, referrals recorded before the end continue to earn commission until their Commission Periods end, and we pay it under sections 5 and 6.
- (b) If we end it under section 11.3, you earn no commission on referrals connected with the breach or the unlawful conduct, and we may recover commission already paid on them. Other recorded referrals continue as in (a). We may set off anything you owe us against commission due to you.
- (c) While you are suspended under section 11.3, no new referrals are credited to you and your payouts are held. If the suspension ends without termination, held payouts are paid under section 6.
- (d) No new referrals are credited to you after the end.
11.5 Sections 2, 4.2, 4.3, 4.4, 5, 6, 8, 9, 10, 11.4 and 12 to 16 survive the end of this Agreement.
12. Changes to the Program and to this Agreement
12.1 We may change the Program or this Agreement, or end the Program, by email to you at least 30 days before the change takes effect. A change to the commission rate, Commission Period or holding period applies only to Referrals whose purchase is made on or after its effective date. If you do not accept a change, you may end this Agreement under section 11.2 before it takes effect; otherwise you are bound by it.
12.2 We change the commission rate or other terms for a particular Referrer only with that Referrer’s written agreement.
13. Independent contractors; no legal relationship
13.1 You are an independent contractor. Nothing in this Agreement creates an agency, partnership, joint venture, franchise or employment relationship. You have no authority to make any promise or commitment for DealDoctor. You bear your own costs.
13.2 This Agreement creates no attorney-client relationship between you and DealDoctor PLLC or any of its attorneys, and nothing we tell you under it is legal advice.
14. Disclaimers, liability and indemnity
14.1 The Program is provided as is, without any warranty, express or implied. We do not promise any level of sales or commission, or that our websites, checkout pages or the “Referred by (referral code)” box will be available, accurate or free of errors, and we may change our products, prices and websites at any time.
14.2 Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits. Our total liability under this Agreement, for all claims together, is limited to the commission paid or payable to you in the 12 months before the event that gave rise to the most recent claim.
14.3 You will indemnify and defend DealDoctor, its members, managers, attorneys and employees against claims, losses and costs (including reasonable attorneys’ fees) arising from your breach of this Agreement, your marketing, or your violation of law.
14.4 Section 14.2 does not limit commission due under sections 5 and 6, your obligations under sections 7, 8 and 10, or section 14.3.
14.5 This Agreement is with DealDoctor PLLC only. None of its members, managers, attorneys or employees is a party to it or has any personal liability under it.
15. Law and disputes
15.1 This Agreement is governed by the laws of the District of Columbia, without regard to conflict-of-laws principles.
15.2 A party with a dispute will give the other written notice, and the parties will try in good faith to resolve it for 30 days. Any dispute not resolved will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Washington, DC. Judgment on the award may be entered in any court with jurisdiction. Either party may seek an injunction in the courts located in the District of Columbia to protect its intellectual property or confidential information. Claims may be brought only individually, not as a class or representative action.
16. General
16.1 Notices. Notices to us go to legal@dealdoctor.pro. Notices to you go to the email address you gave us, as you update it in writing. A notice by email is received 24 hours after it is sent.
16.2 Assignment. You may not assign or transfer this Agreement without our written consent. We may assign it to an affiliate or to a successor to our business.
16.3 Entire agreement. This Agreement is the entire agreement about the Program. It takes precedence over the Program’s web page, emails and other descriptions.
16.4 Severability, waiver, electronic acceptance. If any part of this Agreement is unenforceable, the rest stays in force. A failure to enforce a term is not a waiver. Accepting by tick-box is as binding as a signature.
